Pilot Terms

Terms for a Proxara evaluation pilot: a free, fourteen-day deployment in the firm's own dedicated environment on a small group of devices, under the Master Subscription Agreement and Data Processing Addendum, ending in conversion or clean deletion.

These Pilot Terms ("Pilot Terms") govern a Proxara evaluation pilot (the "Pilot") between Proxara, Inc. ("Proxara," "we," or "us") and the organization enrolling in the Pilot ("Customer" or "you"). A Pilot lets a firm run Proxara in its own environment, on a small group of devices, for a fixed evaluation window, before deciding whether to become a paying customer.

By enrolling in or authorizing the Pilot, including by clicking to accept these terms or by authorizing the Pilot deployment through your device management platform, you agree to these Pilot Terms. The individual accepting represents that they are authorized to bind Customer and to authorize the monitoring and interception described below. If you do not agree, do not enroll in the Pilot.

These Pilot Terms incorporate, and the Pilot is subject to, the Master Subscription Agreement (the "MSA"), the Data Processing Addendum (the "DPA"), and the Acceptable Use Policy, except as expressly modified here for the Pilot. Where these Pilot Terms conflict with the MSA, these Pilot Terms control for the Pilot; the DPA controls for data protection matters.


1. What the Pilot Is

The Pilot is a real deployment of the Proxara service, not a hosted demonstration. Proxara provisions a dedicated, single-tenant environment for Customer (the Proxara-Managed model described in the MSA), and Customer's IT team deploys the device agent to a small group of company-managed devices (by default, up to twenty-five) through its own device management platform, for example Microsoft Intune or Jamf. Employees install nothing and continue working normally.

The purpose of the Pilot is evaluation: to let Customer see, on its own devices and its own data, how Proxara enforces the firm's AI policy, protects sensitive data, and produces a record, before committing to a paid subscription.

2. Term

The Pilot runs for fourteen (14) days from the day the environment is made available, unless extended in writing by Proxara or ended earlier under Section 8. The Pilot does not automatically renew and does not convert into a paid subscription automatically. At the end of the Pilot, Customer decides whether to convert (Section 7) or to end it (Section 8).

3. No Fee

The Pilot is provided free of charge. Customer owes no fees for the Pilot and is under no obligation to purchase a subscription.

4. Data Protection

All personal data processed during the Pilot is processed under the DPA, with Customer as the controller and Proxara as the processor. Pilot data is held only in Customer's dedicated, single-tenant environment, isolated from every other customer, as described in the DPA and the Security Overview. Operational telemetry that Proxara receives to run and support the environment is content-free and carries no customer content or personal data, as described in the Security Overview. Customer owns its data at all times.

5. Customer Responsibilities

Customer is responsible for deploying the device agent to its devices through its device management platform and for removing it at the end of the Pilot. Customer represents and warrants that it has the authority to deploy the agent to the selected devices, to enable the network-layer interception and monitoring of AI traffic described in the Product Privacy Policy, and that it has given its employees any notice and obtained any consent required by applicable employee-monitoring and electronic-communications laws before the Pilot begins. Proxara provides an Employee Monitoring Disclosure Template to help, but the notice obligation is Customer's. This mirrors, and does not reduce, Customer's obligations under the MSA.

6. Evaluation, As Is

The Pilot is provided for evaluation on an "as is" and "as available" basis. Notwithstanding any warranty in the MSA, Proxara makes no warranty of any kind for the Pilot, whether express, implied, statutory, or otherwise, including any warranty of merchantability, fitness for a particular purpose, or that the service will detect all sensitive data or prevent all data leakage. Results observed during a fourteen-day pilot may differ from a full production deployment.

7. Conversion

If Customer decides to proceed, the Pilot converts to a paid subscription by executing an Order Form under the MSA. On conversion, the same dedicated environment continues without migration, re-enrollment, or downtime: the certificate, the audit vault, and the record accrued during the Pilot carry forward unchanged, and billing begins as set out in the Order Form. The signed Order Form, together with the MSA and DPA, governs the paid subscription.

8. Ending the Pilot

Either party may end the Pilot at any time, for any reason or no reason, on written notice, and email is sufficient. The Pilot also ends automatically at the close of the fourteen-day window if Customer has not converted. On ending without conversion, Customer removes the device agent through its device management platform, and Proxara deletes all Customer data from the dedicated environment and certifies the deletion in writing, as described in the DPA. The agent's removal routine takes the Proxara certificate authority out of the device trust store and deletes local data, as described in the MSA.

9. Limitation of Liability

The Pilot is free and provided for evaluation, and liability is limited accordingly. Proxara's total aggregate liability to Customer arising out of or relating to the Pilot will not exceed one thousand U.S. dollars (US $1,000.00), except for liability that cannot be limited under applicable law. Neither party is liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Pilot. This section does not limit Customer's responsibilities under Section 5 or Customer's indemnification obligations under the MSA.

10. Confidentiality

Each party's Confidential Information is protected as set out in the MSA. The existence and results of the Pilot, and any evaluation materials Proxara provides, are Proxara's Confidential Information.

11. Governing Law

These Pilot Terms are governed by the laws of the State of California, without regard to its conflict of law provisions, and any dispute is subject to the dispute-resolution and venue provisions of the MSA.
